Terms & Conditions
1. Service
The Site and the Service, including all SaaS CRM features, technology platforms, billing infrastructure, and account management tools (the “Service“) are offered by Paddy Labs (“we,” “us,” or “Paddy Labs”). By using the Service, either as a client merchant or an authorized representative (“you”), you agree to these Terms of Use (“Terms”). You acknowledge that this is a binding contract between you and Paddy Labs, located at 3 The Place, Dunboyne Castle, Meath, A86 E129, Ireland.
Important: Paddy Labs provides subscription and billing infrastructure to registered merchant companies. Each merchant is a separate operating corporation. If you do not agree to these Terms, you must cease use of the platform immediately.
2. The Agreement
No contract is formed until Paddy Labs has approved your merchant application and agreed to provide the Service. We may amend these Terms at any time. Continued use of the platform following an update constitutes acceptance of the new Terms. We reserve the right to refuse service to any applicant for any reason.
3. SaaS License & Platform Usage
License Grant Paddy Labs grants you a non-exclusive, non-transferable, limited license to access the SaaS platform and its CRM tools for your internal business operations. You may not sublicense this access.
Platform Restrictions You agree not to:
- Reverse engineer, decompile, or disassemble any aspect of the Paddy Labs infrastructure.
- Use the Service to facilitate illegal transactions or violate anti-money laundering (AML) regulations.
- Bypass any security measures or digital rights management implemented on the platform.
- Use the Service to send unsolicited bulk emails (SPAM) or violate data protection laws (including GDPR).
Data Processing As a technology provider, Paddy Labs processes data on your behalf. You are the Data Controller for your customers’ information, and Paddy Labs acts as the Data Processor.
4. Support Services
The Service includes reasonable technical assistance regarding the platform’s functionality during regular Irish business hours (GMT/IST), excluding Irish public holidays. Support is provided primarily via email at info@paddylabs.ie. Paddy Labs is not responsible for troubleshooting hardware or third-party internet connectivity issues.
5. Fees and Payment
- Subscription: Fees for the SaaS platform are billed monthly or annually as per your specific Merchant Agreement.
- Billing Infrastructure: As you use Paddy Labs for your own customer billing, you are responsible for ensuring your credit card on file with us is valid.
- Failed Payments: In the event of an unsuccessful payment for your SaaS subscription, Paddy Labs reserves the right to suspend platform access. An administrative fee of up to €3.00 may be applied to cover processing costs for failed transactions.
- Statement Descriptor: Charges for the Paddy Labs platform will appear as PADDYLABS.IE on your bank statement.
6. Cancellation & Termination
- Merchant Cancellation: You may cancel your subscription as per the notice period defined in your specific service contract. Upon cancellation, your access to the CRM and billing data will cease at the end of the paid period.
- Service Termination: Paddy Labs may suspend or terminate access immediately if you violate these terms, fail to pay fees, or if your business activities pose a reputational risk to our platform.
- Data Retention: Following termination, Paddy Labs may retain residual data as required by Irish financial regulations and for audit purposes, but is not obligated to provide continued access to your dashboard.
7. Refunds
As a B2B service provider, refunds are handled on a case-by-case basis. Generally, fees for the current billing cycle are non-refundable unless Paddy Labs has failed to provide the Service as described.
8. Merchant Responsibilities
You represent and warrant that:
- You will comply with all consumer protection laws in the jurisdictions where your customers reside.
- You will not use Paddy Labs to sell prohibited content or services.
- You are responsible for the security of your login credentials.
9. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.” Paddy Labs makes no warranties that the platform will be 100% uninterrupted or error-free. We are not liable for any loss of revenue or data resulting from platform downtime or technical glitches.
10. Force Majeure
Paddy Labs is not liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to: cloud provider outages, government actions, internet infrastructure failures, or acts of God.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Ireland. You agree that the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
